Welcome to ApexHub Insights! These Terms of Service ("Terms") govern your access to and use of the ApexHub Insights website and its services, features, content, and applications (collectively, the "Platform"). Please read these Terms carefully before using the Platform.

By accessing or using the Platform, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing this site.

1. Acceptance of Terms

By accessing or using the ApexHub Insights Platform, you signify your agreement to these Terms, our Privacy Policy, and our Disclaimer. If you do not agree to these Terms, you may not use the Platform.

2. Access and Use of the Platform

  • Eligibility: You must be at least 18 years old to use this Platform. By using the Platform, you represent and warrant that you are at least 18 years old.
  • License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your personal, non-commercial use, subject to these Terms.
  • Modifications: We reserve the right to modify or discontinue, temporarily or permanently, the Platform (or any part thereof) with or without notice.

3. Intellectual Property Rights

All content on the ApexHub Insights Platform, including but not limited to text, graphics, logos, images, financial data, and software, is the property of ApexHub Insights or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as generally permitted for personal, non-commercial use.

4. User Conduct

You agree not to use the Platform to:

  • Violate any applicable national or international law or regulation.
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by us, may harm ApexHub Insights or users of the Platform or expose them to liability.
  • Transmit any advertising or promotional material without our prior written consent.
  • Impersonate or attempt to impersonate ApexHub Insights, an ApexHub Insights employee, another user, or any other person or entity.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.
  • Use the Platform for any purpose other than personal, non-commercial financial insights.
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without our express written permission.

5. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. APEXHUB INSIGHTS DOES NOT MAKE ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM. WITHOUT LIMITING THE FOREGOING, APEXHUB INSIGHTS DOES NOT REPRESENT OR WARRANT THAT THE PLATFORM, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE PLATFORM OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

AS A FINANCIAL INSIGHTS PLATFORM, WE SPECIFICALLY DISCLAIM ALL WARRANTIES RELATED TO INVESTMENT ADVICE, FINANCIAL OUTCOMES, OR THE SUITABILITY OF ANY FINANCIAL DATA FOR INVESTMENT DECISIONS. REFER TO OUR SEPARATE DISCLAIMER FOR MORE DETAILS.

6. Limitation of Liability

IN NO EVENT SHALL APEXHUB INSIGHTS, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (III) ANY CONTENT OBTAINED FROM THE PLATFORM; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

7. Indemnification

You agree to defend, indemnify, and hold harmless ApexHub Insights and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Platform, by you or any person using your account and password; b) a breach of these Terms; or c) content posted on the Platform.

8. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

9. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by amicable negotiation. If an amicable settlement cannot be reached, the dispute shall be referred to arbitration in Kerugoya, Kirinyaga County, Kenya, in accordance with the Arbitration Act (No. 4 of 1995) of Kenya, or any statutory modification or re-enactment thereof for the time being in force.

10. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Platform.

11. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and ApexHub Insights regarding our Platform.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
  • Waiver: No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of ApexHub Insights to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
