Terms of Service

By accessing or using the ApexHub Insights Platform, you signify your agreement to these Terms, our Privacy Policy, and our Disclaimer. If you do not agree to these Terms, you may not use the Platform.

• Eligibility: You must be at least 18 years old to use this Platform. By using the Platform, you represent and warrant that you are at least 18 years old.
• License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your personal, non-commercial use, subject to these Terms.
• Modifications: We reserve the right to modify or discontinue, temporarily or permanently, the Platform or any part of it with or without notice.

All content on the ApexHub Insights Platform, including but not limited to text, graphics, logos, images, financial data, and software, is the property of ApexHub Insights or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Platform except as generally permitted for personal, non-commercial use.

You agree not to use the Platform to:

• Violate any applicable national or international law or regulation.
• Engage in conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or may harm ApexHub Insights or expose users to liability.
• Transmit advertising or promotional material without prior written consent.
• Impersonate ApexHub Insights, an employee, another user, or any other person or entity.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Platform or associated systems.
• Use the Platform to operate a competing product, or to provide a service to third parties, other than professional use by advisors on the terms set out in Section 05.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without express written permission.

The Platform may be used by financial advisors to model plans for their own clients. If you use it in that way, you do so independently of ApexHub Insights. We are not a party to your relationship with your client, we do not select clients for you or advisors for them, and we take no share of the fees you agree with your clients. By using the advisor features you represent and warrant that:

• Licensing: You hold every licence, registration, and authorisation required under Kenyan law for the services you provide to your clients, you will maintain them for as long as you use the advisor features, and you will notify us promptly if any of them lapses, is suspended, or is withdrawn.
• Client consent: You have your client's informed consent to enter their personal and financial data into the Platform, and you have given any notice required of you under the Data Protection Act 2019. As between you and us, you are responsible for the lawfulness of the client data you input and for the accuracy of what you present to your client.
• No implied endorsement: You will not represent, directly or by implication, that ApexHub Insights has verified, approved, accredited, endorsed, or supervised you. A licence number recorded on your advisor profile is held as an administrative record only and is not a verification of it.
• Responsibility for advice: You are solely responsible for any recommendation you make, for its suitability for your client, and for how Platform outputs are presented to or relied upon by your client.

You agree to indemnify and hold harmless ApexHub Insights, its directors, employees, and affiliates against any claim, loss, liability, or cost, including reasonable legal fees, arising from your advice, your breach of the warranties above, or any regulatory action concerning your licensing or conduct.

We may suspend or terminate access to the advisor features immediately where we receive a credible complaint, or have reasonable grounds to believe that a warranty in this Section is untrue. Where you have paid for a period that has not been used, we will refund it on a pro-rata basis unless the suspension or termination follows your breach of these Terms.

Section F of our Disclaimer sets out the same position from your client's perspective and forms part of these Terms.

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. APEXHUB INSIGHTS DOES NOT MAKE ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM.

WITHOUT LIMITING THE FOREGOING, APEXHUB INSIGHTS DOES NOT REPRESENT OR WARRANT THAT THE PLATFORM, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE PLATFORM WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

AS A FINANCIAL INSIGHTS PLATFORM, WE SPECIFICALLY DISCLAIM ALL WARRANTIES RELATED TO INVESTMENT ADVICE, FINANCIAL OUTCOMES, OR THE SUITABILITY OF ANY FINANCIAL DATA FOR INVESTMENT DECISIONS.

THIS EXTENDS TO EVERY MODELLED OR CALCULATED OUTPUT ON THE PLATFORM. PREDICTIVE MODELS, HISTORICAL BACKTESTS, AND WALK-FORWARD SIMULATIONS ARE EXPERIMENTAL RESEARCH TOOLS; MULTI-SCENARIO CHARTS AND TREND PROJECTIONS ARE TREND-EXTRAPOLATION MODELS RUN AT FIXED MATHEMATICAL VARIANCES; AND NUMERICAL SCORES, PEER COMPARISONS, AND EVENT-BASED PENALTIES ARE THE OUTPUTS OF AUTOMATED, NON-DISCRETIONARY FORMULAS APPLIED TO PAST PUBLIC DISCLOSURES. WE MAKE NO WARRANTY THAT ANY SUCH OUTPUT IS ACCURATE, PREDICTIVE, OR SUITABLE FOR ANY DECISION.

These limits are set out in full in our Disclaimer, specifically Section B (No Financial, Tax, or Legal Advice), Section C (Walk-Forward Modeling, Backtesting, and Predictive Financial Metrics), Section D (Scenario Analysis, Trend Projections, and Forward Metric Modeling), and Section E (Quantitative Scoring, Peer Valuation, and Metric Penalties), which form part of these Terms.

APEXHUB INSIGHTS DOES NOT PROVIDE INVESTMENT ADVISORY, BROKERAGE, FUND MANAGEMENT, OR OTHER LICENSED FINANCIAL SERVICES. WE DO NOT MANAGE MONEY OR HOLD OR CUSTODY CLIENT ASSETS. THE PLATFORM PROVIDES SELF-DIRECTED TOOLS AND RESEARCH ONLY, NOT PERSONALIZED INVESTMENT MANAGEMENT OR ADVISORY SERVICES.

IN NO EVENT SHALL APEXHUB INSIGHTS, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM, ANY THIRD-PARTY CONDUCT OR CONTENT, ANY CONTENT OBTAINED FROM THE PLATFORM, OR UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

You agree to defend, indemnify, and hold harmless ApexHub Insights and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, debt, and expenses, including attorney's fees, resulting from or arising out of your use of the Platform, your breach of these Terms, or content posted on the Platform.

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

These Terms shall be governed and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity of these Terms, shall first be settled by amicable negotiation. If an amicable settlement cannot be reached, the dispute shall be referred to arbitration in Kerugoya, Kirinyaga County, Kenya, in accordance with the Arbitration Act (No. 4 of 1995) of Kenya, or any statutory modification or re-enactment in force at that time.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before new terms take effect. By continuing to access or use the Platform after revisions become effective, you agree to be bound by the revised terms. If you do not agree, you should stop using the Platform.

• Entire Agreement: These Terms constitute the entire agreement between you and ApexHub Insights regarding the Platform.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of that term or any other term, and any failure to assert a right shall not constitute a waiver.
